M-KOPA Holdings, a prominent UK-based fintech with over five million customers across five African nations, is embroiled in a legal battle that could have significant repercussions for Kenya’s startup ecosystem. A 2019 shareholding restructure, initially viewed as a standard measure to prevent dilution, is now the focus of a major lawsuit. The case raises critical questions about corporate governance and who benefits from the growth of venture-backed companies in Africa. This dispute threatens to scrutinize the equity practices within the continent’s booming tech scene.

Allegations of Discriminatory Equity Allocation

The lawsuit was initiated by Elizabeth Njoki, a former manager at the company’s subsidiary, M-KOPA Kenya Limited. Her legal filings allege that M-KOPA intentionally engineered its shareholding structure to disadvantage local Kenyan employees. The suit claims this arrangement systematically denied them meaningful ownership while specifically protecting the interests of white expatriates and global investors. Among the investors mentioned is Generation Investment Management, a firm co-founded by former U.S. Vice President Al Gore. At the heart of the complaint is the accusation that M-KOPA discriminated against its African staff in the allocation of company equity.
